Non-Disclosure of Proprietary Material Agreement
This Non-Disclosure Agreement (“Agreement”) is entered into between the undersigned user (“Recipient”) and Christian Hoffeldt ( hoffelt.net, hoffeldt.com and hoffeldt.dk (“Owner”), collectively referred to as the “Parties.”
The Recipient acknowledges that all material, content, data, and information made available by the Owner, including but not limited to documents, ideas, concepts, software, and other proprietary material (“Confidential Material”), is the exclusive property of the Owner and is protected by copyright, trade secrets, and other intellectual property rights.
The Recipient agrees that they will not, under any circumstances, copy, reproduce, distribute, disclose, or otherwise use the Confidential Material for any purpose other than authorised evaluation or review as explicitly permitted by the Owner. The Recipient further agrees to maintain the confidentiality of all such material and to take all reasonable measures to prevent unauthorised disclosure.
The Recipient acknowledges that any breach of this Agreement may cause irreparable harm to the Owner, and that the Owner shall be entitled to seek all remedies available at law or in equity, including injunctive relief.
This Agreement does not grant the Recipient any rights, title, or interest in the Confidential Material, and all rights not expressly granted herein are reserved by the Owner.
By accessing, viewing, or using the Confidential Material, the Recipient confirms that they have read, understood, and agreed to be bound by this Non-Disclosure Agreement.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Denmark, the Cord in Kongens Lyngby, or in Copenhagen, and the Parties submit to the exclusive jurisdiction of the courts therein.
